Introduction & Acceptance of The Terms

1.1 

Welcome to Moonfull.ai LLC (Herein here after reffered to as  iSaucers, and/or as the Platform). These Terms of Service ("Terms") govern your access and use of our Platform and related services provided by Moonfull.ai LLC, a Limited Liability Company incorporated in Belize with a registered  office at

By accessing or using our Platform, you agree to these Terms, our Privacy Policy, and any additional terms or policies that may apply to specific features or services. If you do not agree to these Terms, you must not use our Platform

Definitions

2.1

"User" refers to any individual or entity that accesses or uses the Platform.

2.2

"Services" refers to the cloud-based software and related services provided by iSaucers LLC via the Platform

Description of the Services

3.1

Our platform, a Software as a Service (SaaS) model, is an "Organization Structure Agnostic" solution, designed to serve a diverse range of user and entities irrespective of their size, structure, or sector. This includes, but is not limited to, small startups, large corporations, non-profit organizations, government agencies, personal and home structures and activities.

3.2

You’re an Independent Contractor and responsible for all your actions in dealing with iSaucers and your users. You have total control over how you build your services and provide support

3.3

iSaucers provides the platform and the technology to create and manage business and personal organization structures and not provide any of the services provided by the subscribers

3.4

iSaucers’ users can provide services directly to their customers and engage any of the services provided by external third-party services providers at their own free will and at terms of services to be agreed directly between the iSaucers’ users, their customers and the third-party Service Providers including payment terms and payment collections

3.5

You agree to abide by iSaucers’ Terms of Use, Privacy Policies and all iSaucers’ other terms of conditions published through its website and ensure that your customers and users also abide by all iSaucers Terms and Conditions. If there is a conflict between the iSaucers conditions and yours, then iSaucers’ Terms and Conditions shall have precedence

 Third-Party Services

The Platform may integrate with or enable access to third-party services. We are not responsible for the operation or any data handling practices of these third-party services. You are encouraged to review the privacy policies and terms of these third-party services before using them

 User Obligations and Conduct

As a user of our platform, you agree not to engage in any illegal activity, harass other users, or violate these Terms. You also agree to comply with all local laws regarding online conduct and acceptable content, including laws regulating the export of data from your country of residence

 User-Generated Content

6.1

You retain ownership of all public and private content that you post, upload to, or otherwise share on the Platform. However, by publicly posting, uploading, or sharing your content, you grant us a non-exclusive, sub-licensable, royalty-free, worldwide license to use, modify, publicly display, reproduce, and distribute your content on the Platform and in all other media or formats used in connection with the Platform

You are solely responsible for all content that you post, upload to, or otherwise share on the Platform. We do not endorse any content posted by users or guarantee the accuracy, quality, or integrity of any content posted. Under no circumstances will we be liable in any way for any content, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of any content posted, uploaded, or otherwise shared on the Platform

You understand that all information, data, text, software, music, sound, photographs, graphics, video, messages, tags, or other materials ("Content"), whether publicly posted or privately transmitted, are the sole responsibility of the person from whom such Content originated. This means that you, and not iSaucers, are entirely responsible for all Contents that you upload, post, email, transmit or otherwise make available via the Service

 Account Registration and Access

7.1

To use the Platform, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update your information as necessary to maintain its accuracy

7.2

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or use of your account

 License and Restrictions

8.1

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform and Services for your internal business purposes only

8.2

You may not: (a) sublicense, resell, or distribute the Platform or Services; (b) modify, reverse engineer, or create derivative works based on the Platform or Services; (c) use the Platform or Services for any illegal or unauthorized purpose; (d) interfere with or disrupt the Platform, Services, or our systems; or (e) use any automated means to access or use the Platform or Services without our permission

 Fees and Payment

9.1

The fees for the Platform and Services are specified on our website or in an applicable order form. You agree to pay the fees and any applicable taxes, and to provide us with a valid method of payment

All fees are non-refundable, except as required by law or as otherwise specified in these Terms or an applicable order form

Returns, Shipping, and Other Terms of Sale

If your platform sells products or services, you should provide detailed policies about the terms of the sale. This might include how and when products will be shipped, what the return policy is, whether you offer refunds, and so on. You should consult with a lawyer to ensure that your policies are compliant with relevant laws and regulations

 Subscription, Billing, and Cancellation

11.1

The Service are billed on a subscription basis and/or transactions based, or Pay-As-You go basis and others plans which will clearly posted on our website hereinafter referred to as  "Subscription(s)". You will be billed in advance on a recurring and periodic basis ("Billing Cycle") or after the transactions are generated.  Billing cycles are set on a regular basis, often monthly or periodically

11.2

At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it or iSaucers LLC cancels it. You can cancel your Subscription renewal through your online account management page or by contacting our customer support

11.3

For other billing types, the transactions or activities are aggregated and billed as you go or on successful completion of the transactions or periodically

11.4

A valid payment method is required to process the payment for your Subscription. You shall provide iSaucers LLC with accurate and complete billing information including full name, address, state, zip code, telephone number, and a valid payment method information

 Data Security

We implement reasonable administrative, technical, and physical measures to protect your personal data from unauthorized access, destruction, use, modification, or disclosure. However, no method of transmission over the internet or electronic storage is 100% secure, and as such, we cannot guarantee absolute security

 Intellectual Property

13.1

All intellectual property rights in and to the Platform and Services are owned by iSaucers LLC or its licensors. You acknowledge that you have no rights in or to the Platform or Services other than the right to use them in accordance with these Terms

13.2

iSaucers original content (excluding Content provided by users), features and functionality are and will remain the exclusive property of iSaucers and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries

13.3

You agree not to copy, modify, rent, lease, loan, sell, distribute, perform, display, license, reverse engineer or create derivative works based on the site or any content (including without limitation any software) available through the site

13.4

You agree not to use our trademarks, logos, or other intellectual property without our prior written consent

Disclaimers and Limitations of Liability

14.1

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance

14.2

You agree to indemnify, defend, and hold harmless iSaucers its directors, employees, partners, agents, suppliers, or affiliates, and in no event shall be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, costs, expenses (including reasonable attorneys’ fees, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service by you or any person using your account and password, (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service or any Content posted on the Service, (iv) your violation of these Terms,  (v) your violation of any rights of another, (vi) your conduct in connection with the Platform or Services, and (vi) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage

 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision

 Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the Terms remain in full force and effect

 Assignment

You may not assign these Terms or any of your rights or obligations under these Terms without our express written consent. We may assign these Terms at any time without notice to you

 No Third-party Beneficiaries

You agree that, except as otherwise expressly provided in these Terms of Service, there shall be no third-party beneficiaries to these Terms of Service

 Force Majeure

We will not be liable for any delay or failure in performance of our obligations under these Terms if such delay or failure is due to circumstances beyond our reasonable control including but not limited to, acts of God, war, civil commotion, interruption in Internet service, industrial disputes, and governmental regulations and prohibitions

 Changes to these Terms

We reserve the right to modify these Terms at any time. If we make changes to these Terms, we will provide notice of such changes, such as by sending an email notification, providing notice through the Services, or updating the "Last Updated" date at the beginning of these Terms. Your continued use of the Services will confirm your acceptance of the revised Terms

21

 Termination

21.1

We may terminate or suspend your access to our Platform and Services at our own discretion at any time, without prior notice or liability, for any reason, including (but not limited to) your breach of these Terms

21.2

We shall not be liable to you or any third party for termination of the Service or any claims related to the termination of the Service

21.3

Upon termination, your right to access and use the Platform and Services will immediately cease, and you must promptly delete all copies of our software and content from your systems

 Survival

All provisions of these Terms which, by their nature, should survive termination, shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability

 Governing Law and Jurisdiction

These Terms are governed by the laws of Nevis, without regard to its conflict of law principles. Any dispute or claim arising out of or in connection with these Terms will be subject to the exclusive jurisdiction of the courts of Nevis

Entire Agreement

These Terms (and any further rules, policies, or guidelines incorporated by reference) , together with any other legal notices or additional terms and conditions or policies published by us on the Platform, shall constitute the entire agreement between you and us concerning the Platform and Services

Changes to these Terms

We may modify these Terms at any time by posting the revised Terms on the Platform. Your continued use of the Platform after the changes become effective signifies your acceptance of the new Terms

 Feedback and Suggestions

If you provide us with any suggestions, comments, or other feedback relating to the Platform or Services (whether existing, proposed or otherwise), such feedback will be non-confidential, and we have the right to use such feedback in any way we deem appropriate
